Terms of Service

1. Agreement to Terms

By accessing or using the Samie AI platform, website, or any associated services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of a law firm or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Samie AI provides an artificial intelligence-powered phone intake service designed for law firms. The Service answers incoming calls on behalf of your firm, qualifies potential leads, captures intake information, and books consultations based on your configured preferences. The Service operates in English and Spanish.

Samie AI is a technology company. We are not a law firm and do not provide legal advice, legal representation, or attorney-client relationships of any kind. The Service is a communications and intake tool only. You remain solely responsible for all legal matters, client relationships, and compliance with applicable professional conduct rules.

3. Account Registration

To use the Service, you must create an account. You represent and warrant that you are a licensed attorney, an authorized representative of a law firm, or otherwise legally authorized to use the Service on behalf of your organization. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@samie.ai if you become aware of any unauthorized use of your account.

4. Subscription and Billing

The Service is offered on a subscription basis with monthly or annual billing cycles. By subscribing, you authorize Samie AI to charge your designated payment method on a recurring basis at the start of each billing period. All subscriptions automatically renew at the end of each billing cycle unless you cancel.

To cancel your subscription, you must provide at least thirty (30) days written notice before the next billing date. Cancellations take effect at the end of the current billing period. No refunds or credits are issued for partial billing periods or unused portions of a subscription term.

Samie AI reserves the right to modify pricing at any time. We will provide at least thirty (30) days advance notice of any price changes. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable federal, state, and local laws and regulations. You shall not:

• Use the Service for any illegal activity, including but not limited to fraud, harassment, or solicitation that violates applicable bar rules.
• Use the Service to send unsolicited communications, spam, or deceptive messages to any person.
• Misrepresent the nature of the Service to callers, including implying that the AI is a human receptionist or licensed attorney.
• Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or underlying technology of the Service.
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
• Resell, sublicense, or otherwise make the Service available to any third party without our prior written consent.

6. Intellectual Property

The Service, including all software, AI models, algorithms, designs, trademarks, logos, and documentation, is owned by Samie AI and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

You retain full ownership of your client data, call content, intake information, and any other data you provide through the Service (“Your Data”). You grant Samie AI a limited, non-exclusive license to process Your Data solely as necessary to provide and improve the Service.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your information. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

Call recordings, transcripts, and intake data generated through the Service are your property. We process this data to provide the Service, generate summaries, and deliver structured intake information to your dashboard. We do not sell your data to third parties. We may use aggregated and anonymized usage data to improve the Service.

8. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise. Samie AI expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or available at all times. We do not guarantee the accuracy of AI-generated responses, transcriptions, or call summaries. The Service is a tool to assist your intake process, and you are responsible for reviewing and verifying all information captured by the Service before acting on it. We are not responsible for missed calls, dropped connections, or service interruptions caused by outages, maintenance, or factors beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Samie AI, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of business, loss of data, or loss of clients, arising out of or in connection with your use of the Service, whether based in contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any and all claims arising out of or in connection with these Terms or the Service shall not exceed the total amount you paid to Samie AI during the twelve (12) months immediately preceding the event giving rise to the claim.

10. Termination

Either party may terminate this agreement at any time. You may terminate by canceling your subscription through the dashboard or by contacting us at legal@samie.ai. Samie AI may terminate or suspend your access to the Service immediately, without prior notice, if you breach any provision of these Terms or if we determine, in our sole discretion, that your use of the Service poses a risk to the Service, other users, or third parties.

Upon termination, your right to use the Service ceases immediately. Your data will remain available for export through the dashboard for thirty (30) days following termination. After this 30-day period, we may permanently delete your data from our systems. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, limitation of liability, and governing law.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

12. Changes to Terms

Samie AI reserves the right to modify these Terms at any time. We will provide at least thirty (30) days advance notice of material changes by posting the updated Terms on our website and, where practical, notifying you by email. The “Last updated” date at the top of this page indicates when the Terms were most recently revised. Your continued use of the Service after updated Terms take effect constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must discontinue use of the Service.
